TERMS AND CONDITIONS OF USE

PLEASE READ THESE TERMS AND CONDITIONS OF USE ("AGREEMENT" OR "TERMS") CAREFULLY BEFORE ACCESSING OR USING ANY PARKIFY PLATFORM, SERVICE, OR TECHNOLOGY. BY ACCESSING OR USING THE PLATFORM IN ANY MANNER — INCLUDING BUT NOT LIMITED TO SCANNING A QR CODE, INITIATING A PARKING PAYMENT, SUBMITTING A PERMIT APPLICATION, ENTERING A PARKIFY-MANAGED FACILITY , OR ALLOWING YOUR VEHICLE TO BE PROCESSED BY PARKIFY TECHNOLOGY — YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE PLATFORM AND ALL PARKIFY SERVICES.
These Terms constitute a binding legal agreement between you ("User, " "Guest, " "Permit Holder, " or "you") and PFY Holdings LLC d/b/a Parkify and its subsidiaries and affiliated entities ("Parkify, " "we, " "us, " or "our"). These Terms apply to all access to and use of the Parkify platform, including the scan-to-pay parking payment system, digital permit application and management portal, parking reservation system, license plate recognition ("LPR") enforcement technology, automated gate arm access control, the Parkify website (www.parkify.com), and any associated applications, APIs, widgets, or digital interfaces (collectively, the "Platform").
1. DEFINITIONS
For the purposes of this Agreement, the following terms have the meanings set forth below:
"Platform": All Parkify technology, software, hardware integrations, digital interfaces, and services, including but not limited to scan-to-pay systems, permitting portals, reservation systems, LPR enforcement, automated gate arm controls, and the Parkify website.
"User" / "Guest": Any individual who accesses or uses the Platform in any capacity, including parkers, permit holders, vehicle operators, and visitors to any Parkify-enabled property.
"Operator": Any property owner, manager, landlord, parking authority, or other entity that has licensed or contracted with Parkify to deploy the Platform at a specific property or facility ("Facility").
"Facility": Any parking lot, garage, structure, surface lot, or other property at which Parkify technology is deployed by an Operator.
"LPR Data": Any license plate number, vehicle image, or associated vehicle data captured by Parkify license plate recognition cameras.
"Transaction": Any payment, permit issuance, reservation, citation, or other financial or administrative exchange facilitated through the Platform.
"Content": Any text, data, images, graphics, or other material submitted by Users through the Platform.
"Intellectual Property": All patents, trademarks, service marks, trade names, copyrights, trade secrets, software, source code, algorithms, and proprietary technology owned or licensed by Parkify.
2. ELIGIBILITY AND ACCOUNT ACCESS
2.1 Age Requirement
You must be at least 18 years of age and legally capable of entering into binding contracts under applicable law to use the Platform. By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of a business or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
2.2 Account Registration
Certain features of the Platform may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Parkify immediately of any unauthorized access to or use of your account. Parkify is not liable for any loss arising from your failure to safeguard your credentials.
2.3 Access Without Registration
Certain Platform features, including scan-to-pay and LPR-triggered access, are available without creating an account. Use of these features without account registration does not exempt you from these Terms. All Platform use is governed by this Agreement regardless of registration status.
2.4 Operator Accounts
If you are an Operator accessing the Platform under a separate operator agreement with Parkify, your use of the Platform is additionally governed by that agreement. In the event of a conflict between these Terms and a signed operator agreement, the operator agreement controls with respect to Operator-specific provisions.
3. PLATFORM SERVICES
3.1 Scan-to-Pay Parking Payments
The scan-to-pay feature enables Users to initiate and complete parking payment transactions by scanning a QR code or accessing a designated payment URL at a Facility. By initiating a scan-to-pay transaction, you authorize Parkify and its payment processing partners to charge the payment method you provide for the applicable parking fee. All transactions are subject to the fee schedule displayed at the time of payment. Parkify reserves the right to modify fees at any time with or without notice, subject to applicable law.
3.2 Permit Issuance and Management
Parkify facilitates the issuance, renewal, management, and revocation of parking permits on behalf of Operators. Permits are issued subject to Operator-specific rules, availability, and eligibility requirements. A permit grants you a revocable, non-transferable license to park at the designated Facility during the permit term and subject to applicable rules. Parkify and Operators reserve the right to revoke, suspend, or modify permits at any time for violation of these Terms, Facility rules, or applicable law, including for nonpayment or fraudulent use.
3.3 Parking Reservations
Where reservation functionality is available at a Facility, you may reserve a parking space through the Platform for a specified date and time. Reservations are subject to availability and Operator-specific cancellation and refund policies displayed at the time of booking. Parkify does not guarantee space availability and is not responsible for Operator-imposed restrictions or Facility closures.
3.4 License Plate Recognition and Gate Arm Automation
Parkify's LPR technology automatically captures license plate data upon vehicle entry, patrol, and exit at equipped Facilities. This data is used to verify permits, process payments, trigger automated gate arm opening and closing, generate access logs, and support enforcement operations. By entering a Parkify-equipped Facility, you expressly consent to the automated capture and processing of your vehicle's license plate data as described herein and in the Privacy Policy. Gate arm automation is provided as a convenience feature. Parkify is not responsible for gate arm malfunction, failure, or delay attributable to hardware issues, connectivity interruption, or conditions outside Parkify's reasonable control.
3.5 Enforcement Services
Parkify provides end-to-end parking enforcement technology and services, which may include LPR-based citation issuance, towing authorization workflows, violation tracking, and access restriction. All enforcement actions generated through the Platform are administered by Parkify and are subject to Parkify's internal dispute and appeals process. If you believe an enforcement action has been issued in error, you have the right to submit a formal dispute through Parkify's enforcement appeals process, accessible at www.parkify.com/appeals or through the contact information in Section 15. Parkify will review all appeals in good faith and in accordance with the appeal procedures and timelines communicated at the time of citation issuance. Enforcement disputes are subject to the arbitration and dispute resolution provisions set forth in Section 11 of these Terms. Parkify reserves the right to uphold, modify, or void any enforcement action following completion of the appeals process.
3.6 Platform Modifications and Availability
Parkify reserves the right to modify, suspend, or discontinue any feature or component of the Platform at any time, with or without notice. Parkify does not guarantee uninterrupted or error-free Platform availability. Scheduled and unscheduled maintenance, system updates, or circumstances beyond Parkify's control may result in temporary unavailability. Parkify is not liable for any loss or damage arising from Platform unavailability.
4. PAYMENTS, FEES, AND REFUNDS
4.1 Payment Authorization
By initiating any Transaction through the Platform, you authorize Parkify and its designated payment processing partners to charge your designated payment method for the applicable fees, including parking fees, permit fees, reservation fees, convenience fees, and any applicable taxes. You represent and warrant that you are authorized to use the payment method you provide.
4.2 Payment Processing
All payment card transactions are processed by Parkify's third-party payment processing partners in compliance with Payment Card Industry Data Security Standards (PCI-DSS). Parkify does not store full payment card numbers. By submitting payment information, you authorize Parkify's payment processors to handle your financial data in accordance with their applicable terms and privacy practices. Parkify is not responsible for errors, failures, or unauthorized charges resulting from acts or omissions of third party payment processors.
4.3 Fees and Taxes
All fees are displayed in U.S. dollars unless otherwise stated. Parkify and Operators reserve the right to modify fee schedules at any time. You are responsible for all applicable taxes, surcharges, and governmental fees associated with your Transactions. Convenience fees, where applicable, are non-refundable.
4.4 Refund Policy
Refund eligibility is determined by the Operator's policies applicable to the specific Facility and Transaction type. Parkify will use commercially reasonable efforts to facilitate approved refunds. Parkify does not guarantee refunds and is not responsible for Operator refund denials. Convenience and processing fees are non-refundable in all circumstances. Chargeback requests made to your card issuer without first seeking resolution through Parkify may result in account suspension and collection action.
4.5 Disputed Charges
If you believe a charge is incorrect, you must notify Parkify in writing within thirty (30) days of the transaction date. Disputes submitted after this period may be denied. Parkify will investigate in good faith and, where applicable, issue a correction or credit. Initiating a chargeback through your card issuer without first submitting a dispute to Parkify may constitute a breach of these Terms.
5. USER CONDUCT AND PROHIBITED USES
Fraudulent Activity: Using false, stolen, or unauthorized payment methods; submitting fraudulent permit applications; or impersonating another person or entity.
Unauthorized Access: Attempting to access, tamper with, or circumvent any Parkify security system, gate arm, LPR system, or software component, whether by technical or physical means.
Permit Misuse: Transferring, selling, sublicensing, or lending a permit credential or access code to an unauthorized vehicle or individual; using a permit at an unauthorized Facility or during an unauthorized period.
Data Scraping: Using bots, scrapers, crawlers, or automated tools to extract, copy, or harvest any data from the Platform without Parkify's express written consent.
Interference: Uploading malware, viruses, or harmful code; taking any action that interferes with or disrupts the Platform, its infrastructure, or other users' access.
False Information: Providing false, misleading, or inaccurate information in connection with any account, permit application, payment, or dispute.
Unlawful Purpose: Using the Platform for any purpose that violates applicable federal, state, or local law, including but not limited to fraudulent parking, obstruction of enforcement, or vehicle registration fraud.
Plate Evasion: Covering, altering, or obscuring your vehicle's license plate in an attempt to evade LPR detection or enforcement at any Facility.
Parkify reserves the right to suspend or permanently terminate your account and access to the Platform, refer matters to law enforcement, and pursue all available legal remedies against Users who engage in prohibited conduct.
6. INTELLECTUAL PROPERTY
6.1 Parkify Ownership
The Platform, including all software, source code, algorithms, user interfaces, visual design, trademarks, service marks, logos, trade names, documentation, and all other intellectual property embodied in or associated with the Platform, is the exclusive property of Parkify or its licensors. All rights not expressly granted to you in these Terms are reserved by Parkify. Nothing in these Terms transfers any intellectual property right to you.
6.2 Limited License to Users
Parkify grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes as described in these Terms. This license does not include the right to: sublicense, sell, or resell the Platform or any component thereof; modify, reverse engineer, decompile, or disassemble any Platform software; create derivative works based on the Platform; or use the Platform to develop a competing product or service.
6.3 Feedback
If you provide Parkify with any feedback, suggestions, ideas, or other input regarding the Platform ("Feedback"), you hereby assign to Parkify all right, title, and interest in and to such Feedback, including all intellectual property rights therein, without compensation or obligation to you. Parkify may use, disclose, reproduce, and commercialize Feedback in any manner and for any purpose without restriction.
6.4 Trademarks
"Parkify," the Parkify logo, and all related product and service names, design marks, and slogans are the trademarks and service marks of Parkify. You may not use Parkify's trademarks without prior written consent. Third-party trademarks appearing on the Platform are the property of their respective owners.
7. PRIVACY AND DATA
Your use of the Platform is subject to Parkify's Privacy Policy, which governs how we collect, use, retain, and disclose your personal information, including vehicle and license plate data. The Privacy Policy is incorporated into these Terms by reference and is available at:

By using the Platform, you acknowledge that you have read and understood the Privacy Policy. Key data practices relevant to your use of the Platform include:
License Plate Data: Parkify's LPR cameras automatically capture your vehicle's license plate data upon entry, during patrol, and upon exit at any Parkify-equipped Facility. This data is used for permit verification, payment processing, gate arm automation, and enforcement. By entering a Facility, you consent to this automated data collection.
Data Retention: Parkify retains your personal information for 120 calendar days from the date of your last interaction with the Platform, subject to legal hold, regulatory obligation, or pending dispute exceptions, as further described in the Privacy Policy.
Marketing Communications: By providing your contact information, you consent to receipt of marketing communications from Parkify, subject to your opt-out rights as described in the Privacy Policy.
Third-Party Sharing: Parkify may share operational data with the Operator of the Facility at which you parked, and with service providers and payment processors, as described in the Privacy Policy.
8. DISCLAIMERS OF WARRANTIES
IMPORTANT — PLEASE READ CAREFULLY:
THE PLATFORM AND ALL SERVICES PROVIDED BY PARKIFY ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PARKIFY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY , OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
(A) ANY IMPLIED WARRANTY OF MERCHANTABILITY , FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT;
(B) ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
(C) ANY WARRANTY REGARDING THE ACCURACY , RELIABILITY , TIMELINESS, OR COMPLETENESS OF ANY INFORMATION, DATA, OR CONTENT PROVIDED THROUGH THE PLATFORM;
(D) ANY WARRANTY THAT DEFECTS IN THE PLATFORM WILL BE CORRECTED; AND
(E) ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.NO ORAL OR WRITTEN INFORMATION PROVIDED BY PARKIFY OR ANY PARKIFY REPRESENTATIVE CREATES A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
8.1 Facility and Operator Disclaimer
Parkify provides technology services to Operators; Parkify does not own, operate, manage, or control any Facility. Parkify makes no warranty regarding the safety, suitability, availability, or condition of any Facility. Parkify is not responsible for property damage, theft, personal injury, or other loss occurring at any Facility. Your use of any Facility is at your own risk.
8.2 Gate Arm and Access Control Disclaimer
Gate arm and access control systems are mechanical and software-integrated devices subject to technical failure, power interruption, connectivity loss, and environmental interference. Parkify does not warrant that gate arm systems will operate without error or interruption. Users must exercise caution around all gate arm equipment. Parkify is not responsible for any vehicle damage, personal injury, or loss resulting from gate arm operation, malfunction, delay, or failure.
8.3 LPR Accuracy Disclaimer
License plate recognition technology is subject to inherent accuracy limitations due to environmental conditions (lighting, weather, obstructions), plate condition, and camera angle. Parkify does not warrant that LPR reads are error-free. Misreads that result in incorrect permit validation, access denial, or citation issuance should be reported to Parkify for review through the dispute process. Parkify's liability for LPR errors is limited as set forth in Section 9.
9. LIMITATION OF LIABILITY
CRITICAL LIMITATION — READ CAREFULLY:
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARKIFY , INC., ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, OR SUCCESSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:(A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY , OR PUNITIVE DAMAGES;
(B) LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS;
(C) PROPERTY DAMAGE, VEHICLE DAMAGE, OR THEFT OCCURRING AT ANY FACILITY;
(D) PERSONAL INJURY OR DEATH, EXCEPT TO THE EXTENT CAUSED BY PARKIFY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT;
(E) DAMAGES ARISING FROM PLATFORM UNAVAILABILITY , ERRORS, OR INACCURACIES;
(F) DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR
(G) ANY OTHER LOSS OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THEPLATFORM, EVEN IF PARKIFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY , OR OTHERWISE).
9.1 Aggregate Liability Cap
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PARKIFY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM — REGARDLESS OF THE FORM OF ACTION — SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO PARKIFY IN THE NINETY (90) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
9.2 Essential Basis
YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN PARKIFY AND YOU. PARKIFY WOULD NOT PROVIDE THE PLATFORM WITHOUT THESE LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR CERTAIN TYPES OF LOSSES; IN SUCH JURISDICTIONS, PARKIFY'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. INDEMNIFICATION
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Parkify, Inc., its subsidiaries, affiliates, officers, directors, employees, agents, licensors, payment processing partners, Operators, and successors (collectively, the "Parkify Parties") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, judgments, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
Your access to or use of the Platform;
Your breach of any representation, warranty, or obligation under these Terms;
Your violation of any applicable federal, state, or local law, regulation, or ordinance;
Your infringement or misappropriation of any third-party intellectual property or privacy right;
Any fraudulent, negligent, or wrongful act or omission by you;
Any dispute between you and an Operator, payment processor, or other third party;
Any Content you submit through the Platform that is false, misleading, defamatory, or unlawful; or
Any claim by a third party arising from your use of a permit or access credential issued through the Platform.
Parkify reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Parkify's defense. You shall not settle any claim without Parkify's prior written consent.
11. DISPUTE RESOLUTION — ARBITRATION AND CLASS ACTION WAIVER
IMPORTANT — ARBITRATION AND CLASS ACTION WAIVER: THIS SECTION CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECTS YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.
11.1 Mandatory Binding Arbitration
Except as provided in Section 11.5, you and Parkify agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any Transaction — including disputes regarding formation, validity, enforceability, scope, or application of this arbitration agreement — shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, or if you are an Operator, under its Commercial Arbitration Rules, both available at www.adr.org. The arbitration shall be conducted in English, in the county of Parkify's principal place of business unless otherwise agreed or required by the AAA's rules for consumer disputes.
11.2 Class Action and Representative Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PARKIFY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, CONSOLIDATED ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. All claims must be brought on an individual basis only. If for any reason a claim proceeds in court rather than arbitration, you and Parkify each waive any right to a jury trial and each agree that claims may only be brought on an individual, non-class basis.
11.3 Arbitration Procedures
Either party may initiate arbitration by submitting a demand to the AAA and providing written notice to the other party. You must send notice to Parkify at: legal@parkify.com or by mail to Parkify, Inc., Attn: Legal Department. The arbitrator has exclusive authority to resolve all threshold arbitrability issues and shall apply Georgia substantive law. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
11.4 Arbitration Fees
Arbitration filing fees and arbitrator costs shall be allocated in accordance with the applicable AAA rules. If the arbitrator determines that a claim is frivolous or filed for an improper purpose, the arbitrator may allocate all fees and costs to the claimant. For consumer disputes involving claims of $10,000 or less, Parkify will pay all AAA filing, administrative, and arbitrator fees unless the arbitrator finds the claim to be frivolous.
11.5 Small Claims Court Exception
Notwithstanding the foregoing, either party may bring an individual claim in small claims court for disputes within that court's jurisdictional limits, provided the claim is not part of a class or representative action and remains in small claims court.
11.6 Informal Resolution — 30-Day Pre-Arbitration Notice
Before initiating arbitration, you must provide Parkify with written notice of your claim ("Notice of Dispute") by email to legal@parkify.com describing the nature of the claim and the relief sought. Parkify will have thirty (30) days from receipt of Notice of Dispute to resolve the claim informally. If the dispute is not resolved within that period, either party may initiate arbitration. This notice requirement is a condition precedent to arbitration.
11.7 Severability of Arbitration Clause
If any portion of this Section 11 is found invalid or unenforceable — except for the class action waiver in Section 11.2 — that portion shall be severed and the remaining arbitration provisions shall be enforced. If the class action waiver in Section 11.2 is found unenforceable, then the entirety of this arbitration clause shall be null and void and the dispute shall proceed in court subject to Section 12.
12. GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles, except to the extent federal law governs. For any claims not subject to arbitration under Section 11, you and Parkify consent to the exclusive personal jurisdiction of, and venue in, the state and federal courts of competent jurisdiction located in Georgia. You waive any objection to such jurisdiction and venue on grounds of inconvenient forum or otherwise. Nothing in this Section limits Parkify's right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, trade secrets, or to prevent irreparable harm.
13. TERM, SUSPENSION, AND TERMINATION
13.1 Term
These Terms are effective upon your first access to or use of the Platform and remain in effect until terminated as provided herein.
13.2 Termination by You
You may cease use of the Platform at any time. If you have a registered account, you may request account deletion by contacting Parkify at privacy@parkify.com. Account deletion does not retroactively affect any Transaction already completed or any obligation you have incurred prior to deletion.
13.3 Suspension and Termination by Parkify
Parkify reserves the right, in its sole and absolute discretion and without prior notice, to suspend or permanently terminate your access to the Platform, cancel your account, or revoke any permit or credential if Parkify reasonably believes you have: (a) violated any provision of these Terms; (b) provided false or fraudulent information; (c) engaged in conduct harmful to Parkify, its Operators, or other users; (d) failed to pay amounts owed; or (e) engaged in any activity that may expose Parkify to legal liability. Parkify may pursue all available legal remedies in addition to termination.
13.4 Effect of Termination
Upon termination: (a) your license to use the Platform immediately ceases; (b) Parkify may delete your account and associated data in accordance with the Privacy Policy; (c) all provisions of these Terms that by their nature should survive termination shall survive, including Sections 6, 9, 10, 11, 12, 13.4, 14, and 15.
14. GENERAL PROVISIONS
14.1 Entire Agreement
These Terms, together with the Privacy Policy (www.parkify.com/privacy) and any applicable operator agreement, constitute the entire agreement between you and Parkify regarding the Platform and supersede all prior agreements, understandings, representations, and warranties, whether oral or written, relating to the subject matter hereof.
14.2 Amendments
Parkify reserves the right to modify these Terms at any time. Material changes will be communicated by: posting revised Terms at www.parkify.com/terms with an updated effective date; sending notice to your registered email address; and/or presenting a notice upon your next Platform interaction. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately discontinue use of the Platform.
14.3 Severability
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be unlawful, void, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms continue in full force and effect. The invalidity of one provision shall not affect the validity of the remainder of the Terms.
14.4 Waiver
Parkify's failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of its right to enforce that or any other provision in the future. All waivers must be in writing and signed by an authorized representative of Parkify to be effective.
14.5 Assignment
Parkify may assign, transfer, or delegate any of its rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, sale of assets, or operation of law. You may not assign, transfer, or delegate your rights or obligations under these Terms without Parkify's prior written consent. Any purported assignment by you without consent is void.
14.6 Force Majeure
Parkify shall not be liable for any delay, failure of performance, or interruption of service resulting from causes beyond Parkify's reasonable control, including but not limited to acts of God, natural disasters, pandemics, strikes, power failures, internet outages, cyberattacks, acts of government, civil unrest, or failures of third-party providers and infrastructure. In such events, Parkify's obligations are suspended for the duration of the force majeure condition.
14.7 No Third-Party Beneficiaries
Except as expressly stated in these Terms, these Terms do not create any rights in any third party. Operators are intended third-party beneficiaries of Section 5, Section 8.1, Section 9, and Section 10 of these Terms solely with respect to claims involving their Facilities.
14.8 Electronic Communications and Signatures
You agree that Parkify may provide notices and disclosures to you electronically, including by email, in-app notification, or posting on the Platform. Electronic records and signatures are legally binding under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state law. You consent to receive electronic communications from Parkify and agree that electronic communications satisfy any legal requirement that communications be in writing.
14.9 Relationship of the Parties
Nothing in these Terms creates any employment, agency, partnership, joint venture, or franchise relationship between you and Parkify. You have no authority to bind Parkify or create any obligation on Parkify's behalf.
14.10 Statute of Limitations
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. FAILURE TO INITIATE A CLAIM WITHIN THIS PERIOD SHALL PERMANENTLY BAR SUCH CLAIM, REGARDLESS OF ANY APPLICABLE STATUTORY LIMITATIONS PERIOD.
14.11 Headings
Section headings in these Terms are for convenience only and have no legal effect. They shall not be used to interpret or construe the meaning of any provision.
14.12 Language
These Terms are executed in the English language. In the event of any inconsistency between an English version and any translated version of these Terms, the English version controls.
